Terms and Conditions

1. Acceptance of Terms

By accessing or using the Vox Boreal platform, website (voxboreal.com), or any services provided by Vox Boreal (“Company,” “we,” “us,” or “our”), you (“Client” or “User”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.

2. Description of Services

Vox Boreal provides AI-powered voice agent and messaging automation services to businesses. Our platform enables clients to deploy inbound voice AI agents, automate customer interactions, collect information via voice and SMS, and integrate with third-party systems for order processing and fulfillment.

3. Eligibility

Our services are intended for business use only. By using our platform, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of your organization, and will use our services only for lawful business purposes.

4. Client Responsibilities

As a client of Vox Boreal, you agree to:

  • Provide accurate and complete information when setting up your account and configuring your voice or messaging campaigns.
  • Obtain all required consents from end users before initiating voice or SMS communications on their behalf.
  • Comply with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA messaging guidelines, and applicable carrier requirements.
  • Not use our platform to send unsolicited communications, engage in harassment, transmit fraudulent content, or violate any third-party rights.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.

5. SMS and Voice Messaging Compliance

Clients using Vox Boreal for SMS or voice messaging campaigns are solely responsible for:

  • Obtaining prior express written consent from recipients where required by law.
  • Honoring opt-out requests promptly (e.g., STOP requests for SMS).
  • Providing required disclosures to end users, including message frequency, applicable rates, and opt-out instructions.
  • Ensuring all messaging content complies with carrier policies and applicable regulations.

Vox Boreal reserves the right to suspend or terminate services for any client whose campaigns are found to be non-compliant with applicable laws or carrier guidelines.

6. Prohibited Uses

You may not use Vox Boreal services to:

  • Transmit spam, phishing attempts, or deceptive communications.
  • Collect payment card information outside of approved, compliant flows.
  • Violate any applicable export control or sanctions laws.
  • Reverse engineer, decompile, or attempt to extract source code from our platform.
  • Interfere with or disrupt the integrity or performance of the platform or its infrastructure.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

7. Payment and Billing

Clients are billed according to the pricing plan agreed upon at account setup. All fees are due and payable as set forth in your service agreement. We reserve the right to suspend access to the platform for accounts with past-due balances. Fees are non-refundable except as expressly provided in your service agreement.

8. Intellectual Property

All software, technology, algorithms, interfaces, and content comprising the Vox Boreal platform are the exclusive property of Vox Boreal or its licensors. Nothing in these Terms grants you any ownership interest in our platform. You retain ownership of the content and data you provide to the platform.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party.

10. Data Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree to use any personal data obtained through our platform solely in accordance with applicable privacy laws and your own published privacy policy.

11. Disclaimer of Warranties

THE VOX BOREAL PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOX BOREAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vox Boreal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the platform, your violation of these Terms, or your violation of any applicable law or third-party right.

14. Termination

Either party may terminate the service agreement with written notice as specified in your service agreement. We reserve the right to suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to the platform or other users. Upon termination, your right to access the platform ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Hennepin County, Minnesota, unless otherwise agreed in writing.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
